PROPOSED CHANGES TO CONSTITUTION-

(to be presented at the Annual Business Meeting at the Conference)

The goals for NYSACE shall be

3. to provide a venue which encourages the implementation of state initiatives through cooperation of parents, community members, businesses and agencies to plan and implement a comprehensive educational program for all students.

4. to provide effective connection for our members at the state education level;

5. will provide information on how to plan effective parent involvement programs

6. Serve as a clearinghouse of ideas and resources

7 facilitate in the connection of or networking of educators

Membership

Membership is open to those accepting the mission and goals of the organization. The membership year runs form one annual or semi annual conference to the next (of the same).

Termination of membership

Membership termination is based upon non payment of dues after 6 months after the beginning of a fiscal year.

Section 2 Regional officers

C. In the absence of officer positions within the region, the regional representative may serve as a member on the executive board.

Amendments to the constitution may be made at any meeting of membership by a 2/3 vote of those present after publication takes place.

Dissolution of the association: the organization may dissolve/close down if at least 3 of the executive board officers agree to closing down. The organization shall operate in a manner as to accrue no debts. When the organization closes down it must pay all of its debts. If there is any money left, it should be given in someway to another non profit organization that has similar objectives and is engaged in activities for similar educational purposes.

Three executive members shall constitute a quorum of any meeting of the executive committee.

Section 3 The board of directors shall be selected as provided in the bylaws. (consider removing/replacing word bylaws)

Article V

Section 1 The officers of Nysace shall consist of pres, VP sec, treasurer an member at large past pres and regional reps.

Section 2 The officers shall be elected as provided in the bylaws

Term of office shall be a minimum of 2 years and shall commence immediately following election.

Article VI meetings

An annual meeting of NYSACE inc. shall be held at the annual state conference at a place the board of Directors may select, or, as other wise established in the bylaws.

A quorum for the transaction of business shall consist of a majority of the Board of directors present.

Section 4 At the annual meeting., the treasurer shall propose a budget covering anticipated receipts and expenditures to be presented to the Board of Directors.

Any member of NYSACE, Inc., who has paid their obligations in full, are eligible to become a candidate for state office.
